서비스 이용약관 (Terms of Use)

제1조 (목적)
이 약관은 주식회사 헬로프렌즈(이하 "회사")가 운영하는 웹사이트(https://hellofriend.co.kr), 모바일 앱 "VizaBridge", 기업용 서비스 "Vizabridge Corp" 및 이에 부수하는 웹페이지, 고객지원, 원격지원, 상담, 콘텐츠 등 제반 서비스(이하 통칭하여 "서비스")의 이용과 관련하여 회사와 이용자 간의 권리, 의무 및 책임사항, 기타 필요한 사항을 정함을 목적으로 합니다.

제2조 (정의)
1. "이용자"란 서비스에 접속하거나 서비스를 이용하는 모든 개인 또는 법인을 말합니다.
2. "회원"이란 이 약관에 동의하고 회사가 정한 절차에 따라 회원가입을 완료한 자를 말합니다.
3. "기업회원"이란 Vizabridge Corp 등 기업용 서비스를 이용하기 위하여 회사와 계약을 체결한 법인, 단체 또는 사업자를 말합니다.
4. "구성원"이란 기업회원의 임직원, 담당자 또는 기업회원의 권한으로 서비스에 접근하는 자를 말합니다.
5. "유료서비스"란 상담, 전문가 매칭, 신청 지원, 기업용 기능 또는 기타 회사가 유상으로 제공하는 서비스를 말합니다.
6. "전문가"란 출입국, 비자, 유학, 취업, 노무, 세무, 법인설립 등과 관련하여 회사 또는 별도의 제공주체를 통하여 서비스 내에서 상담 또는 자문을 제공하는 자를 말합니다.
7. "게시물"이란 이용자가 서비스에 게시하거나 업로드하는 문자, 문서, 사진, 영상, 파일, 리뷰, 댓글, 문의, 상담자료 등 일체의 정보를 말합니다.
8. "콘텐츠"란 회사 또는 권리자가 서비스에서 제공하는 텍스트, 디자인, 이미지, 로고, 문서, 데이터베이스, 소프트웨어, UI/UX, 기능 및 기타 정보 일체를 말합니다.

제3조 (약관의 게시, 효력 및 개정)
1. 회사는 이용자가 쉽게 확인할 수 있도록 본 약관을 서비스 초기 화면 또는 연결화면에 게시합니다.
2. 회사는 관련 법령을 위배하지 않는 범위에서 이 약관을 개정할 수 있습니다.
3. 회사가 약관을 개정하는 경우에는 적용일자, 개정사유 및 주요 변경사항을 명시하여 적용일자 7일 전부터 공지합니다. 다만, 이용자에게 불리한 변경 또는 중요한 사항의 변경이 있는 경우에는 적용일자 30일 전부터 공지합니다.
4. 회사는 개정 약관을 공지하면서 이용자가 적용일자 전까지 명시적으로 거부 의사를 표시하지 아니하고 계속 서비스를 이용하는 경우 개정 약관에 동의한 것으로 볼 수 있다는 내용을 함께 안내할 수 있습니다. 다만, 법령상 명시적 동의가 필요한 경우에는 그에 따릅니다.
5. 이용자가 개정 약관에 동의하지 않는 경우 서비스 이용을 중단하고 회원탈퇴 또는 계약해지를 요청할 수 있습니다.
6. 회사가 이 약관을 다국어로 제공하는 경우, 특별한 정함이 없는 한 한국어본이 우선합니다.

제4조 (개별 약관 및 정책)
1. 회사는 서비스의 특성에 따라 개인정보처리방침, 환불정책, 커뮤니티 운영정책, 예약정책, 기업용 서비스 계약, 견적서, 제안서 또는 기타 개별 약관·정책을 둘 수 있습니다.
2. 개별 약관·정책은 그 내용이 이 약관에 반하지 않는 범위에서 이 약관의 일부를 구성합니다.
3. 특정 서비스에 관하여 이 약관과 개별 약관·정책 또는 별도 계약의 내용이 상충하는 경우에는, 해당 서비스에 한하여 개별 약관·정책 또는 별도 계약이 우선 적용됩니다.
4. 이 약관 또는 개별 약관·정책에 정하지 아니한 사항은 관련 법령 및 상관례에 따릅니다.

제5조 (회원가입 및 계정관리)
1. 이용자는 회사가 정한 가입 절차에 따라 필요한 정보를 입력하고 이 약관 및 관련 정책에 동의함으로써 회원가입을 신청할 수 있습니다.
2. 회사는 다음 각 호의 어느 하나에 해당하는 경우 회원가입 신청을 승낙하지 아니하거나 사후에 회원자격을 제한 또는 상실시킬 수 있습니다.
1) 허위정보, 타인 명의, 오기 또는 필수정보 누락이 있는 경우
2) 타인의 개인정보를 도용하거나 부정한 방법으로 가입한 경우
3) 미성년자가 법정대리인의 동의 없이 유료서비스 이용을 신청한 경우
4) 과거 약관 위반 등으로 회원자격이 제한 또는 상실된 이력이 있는 경우
5) 기술상 또는 운영상 회원가입 승낙이 현저히 곤란한 경우
3. 회원은 계정 정보 및 비밀번호를 스스로 관리하여야 하며, 이를 제3자에게 양도, 대여, 담보제공 또는 이용하게 하여서는 안 됩니다.
4. 회원은 이름, 이메일, 연락처, 소속 등 회원정보에 변경이 발생한 경우 지체 없이 이를 수정하여야 하며, 미수정으로 인한 불이익은 회원의 책임으로 합니다.
5. 회사는 본인확인 또는 서비스 안전성 확보를 위하여 필요한 경우 이용자에게 추가 자료 제출 또는 본인확인을 요청할 수 있습니다.
6. 회원이 아닌 이용자도 일부 서비스에 접근할 수 있으며, 이 경우 이 약관 중 성질상 적용 가능한 조항이 준용됩니다.

제6조 (서비스의 내용)
1. 회사는 다음 각 호의 서비스를 제공할 수 있습니다.
1) 출입국·비자·체류자격·취업·유학·외국인 투자·법인설립 등 관련 정보 제공 및 기본 진단 서비스
2) 서류 안내, 작성지원, 번역지원, 허가 가능성 참고정보, 체류·신청 일정 알림, 전자민원 신청 자동화 및 제출 지원
3) 전문가 정보 열람, 예약, 메시지, 전화·화상·대면 상담 및 후속 지원. 단, 전문가 선정 및 계약은 고객이 직접 수행하며, 회사는 특정 전문가를 추천하거나 연결하지 않습니다.
4) 뉴스, 공지, 알림, 푸시 메시지, 개인화 정보 및 추천 서비스
5) Q&A, 리뷰, 커뮤니티 등 이용자 참여형 서비스
6) Vizabridge Corp를 통한 문서관리, 파일관리, 일정관리, 상담 신청 내역 관리, 협업 기능, 원격지원, 기업 업무처리 지원
7) 기타 회사가 별도로 정하여 제공하는 부가서비스
2. 회사는 서비스의 전부 또는 일부를 무료 또는 유료로 제공할 수 있으며, 개별 서비스의 상세 내용은 서비스 화면, 안내문, 견적서 또는 별도 계약에서 정합니다.
3. 일부 서비스는 특정 플랫폼(예: 모바일 앱) 또는 기업용 서비스에서만 제공될 수 있습니다.

제7조 (서비스의 변경 및 중단)
1. 회사는 운영상, 기술상, 정책상 필요에 따라 서비스의 전부 또는 일부를 변경할 수 있습니다.
2. 회사는 서비스 내용의 중대한 변경이 있는 경우 사전에 공지합니다. 다만, 긴급한 시스템 장애, 보안 이슈 또는 불가피한 사유가 있는 경우 사후에 공지할 수 있습니다.
3. 회사는 정기점검, 서버 증설, 시스템 교체, 통신장애, 제3자 서비스 장애, 천재지변 또는 이에 준하는 사유가 발생하는 경우 서비스 제공을 일시적으로 중단할 수 있습니다.
4. 유료서비스가 회사의 사유로 정상 제공되지 못하는 경우 회사는 관련 법령 및 개별 정책에 따라 환불, 대체 제공 또는 그에 준하는 조치를 합니다.
5. 무료로 제공되는 시험적·부가적 기능은 회사의 정책에 따라 별도의 보상 없이 변경 또는 종료될 수 있습니다. 다만, 회사의 고의 또는 과실이 있는 경우에는 그러하지 아니합니다.

제8조 (유료서비스 이용 및 결제)
1. 회사는 유료서비스의 가격, 부가세 포함 여부, 제공주체, 제공 범위, 예약 또는 제공 일정, 이용기간, 취소·환불 조건 등을 결제화면, 예약화면, 상품 상세페이지, 견적서 또는 별도 계약을 통하여 안내합니다.
2. 이용자는 결제 또는 최종 신청 전 신청 내용, 금액 및 조건을 확인하고 정정하거나 취소할 수 있습니다.
3. 유료서비스 이용계약은 이용자가 회사가 정한 절차에 따라 신청하고 회사가 이를 승낙하거나 결제 완료 또는 예약 확정을 통지한 때에 성립합니다.
4. 회사는 가격표기 오류, 서비스 정보의 중대한 착오, 결제오류 또는 부정 사용이 확인되는 경우 이용자에게 알리고 해당 신청을 취소하거나 정정할 수 있습니다. 이미 대금을 수령한 경우에는 지체 없이 환급절차를 진행합니다.
5. 회사는 계약 관련 서류, 영수증, 안내문 및 고지사항을 전자문서 형태로 제공할 수 있습니다.
6. 기업회원의 세금계산서 발행, 정산주기, 청구방법 등은 관련 법령 및 별도 계약에 따릅니다.
7. 유료서비스의 제공주체가 외부 전문가 또는 제휴사인 경우 회사는 그 사실을 해당 화면 또는 계약서에 표시합니다.
8. 미성년자가 유료서비스 계약을 체결하는 경우 법정대리인의 동의가 필요할 수 있으며, 동의가 없는 경우 본인 또는 법정대리인은 관련 법령에 따라 계약을 취소할 수 있습니다.
9. 회사가 제공하는 유료서비스의 요금에는 세무사, 변리사, 변호사 등 전문가의 보수 또는 수수료가 포함되지 않습니다. 전문가 서비스 이용에 따른 보수는 고객과 전문가 간 직접 약정 및 결제를 통해 처리되며, 회사는 이에 관여하지 않습니다.

제9조 (청약철회, 계약해제, 일정변경 및 환불)
1. 유료서비스의 청약철회, 계약해제, 취소 및 환불은 관련 법령, 이 약관, 개별 상품 안내, 예약정책, 견적서 또는 별도 계약에 따릅니다.
2. 다음 각 호와 같이 서비스 특성상 즉시 이행되거나 일부 이행이 개시되는 경우, 회사는 법령이 허용하는 범위에서 취소 또는 환불의 제한, 공제 또는 비례정산 기준을 사전에 고지할 수 있습니다.
1) 예약이 확정된 상담 또는 멘토링 서비스
2) 전문가 배정이 완료된 서비스
3) 문서 검토, 번역, 작성지원, 신청대행, 제출지원 또는 원격지원이 이미 개시된 서비스
4) 디지털 결과물, 맞춤형 산출물 또는 개별 주문형 서비스
5) 이미 이용 또는 소비된 범위가 있는 서비스
3. 이용자가 법령 및 약관에 따라 유효하게 청약철회 또는 계약해제를 한 경우, 회사는 환급의무 발생일로부터 3영업일 이내에 대금을 환급합니다. 다만, 결제수단 제공사업자 또는 금융기관의 처리 일정에 따라 실제 환급 반영 시점은 달라질 수 있습니다.
4. 환불은 원칙적으로 이용자가 사용한 결제수단으로 처리하며, 동일한 방식으로 환급이 불가능한 경우 회사는 이용자와 협의하여 합리적인 방법으로 환급할 수 있습니다.
5. 회사의 귀책사유로 서비스를 제공할 수 없게 된 경우 회사는 관련 법령에 따라 전액 환불 또는 그에 준하는 조치를 합니다.
6. 예약형 서비스의 지각, 불참, 일정변경, 재예약, 노쇼(no-show) 처리 기준은 예약화면, 안내문 또는 개별 정책에 따릅니다.
7. 패키지형 서비스, 이용권, 크레딧, 기업계약, 장기계약의 이용기간 및 중도해지 정산 기준은 개별 상품 조건 또는 별도 계약에 따릅니다.

제10조 (전문가 상담, 신청지원 및 자동 추천 서비스에 관한 특칙)
1. 전문가 상담 또는 자문 서비스는 고객이 플랫폼 내 전문가 정보를 열람하고 직접 선정·약정하는 방식으로 이용됩니다. 회사는 플랫폼 운영, 예약, 결제 및 기술지원을 제공할 뿐이며, 특정 전문가를 추천·배정·연결하는 행위를 하지 않습니다. 전문가 서비스 계약의 당사자는 고객과 해당 전문가이며, 회사는 이 계약의 당사자가 아닙니다.
2. 회사가 제공하는 정보, 진단, 체크리스트, 자동 추천, 허가 가능성 참고정보, 번역지원, 샘플 문안, 자동 생성 결과물 또는 알림 기능은 일반적 정보 제공 및 업무 지원을 위한 참고자료일 뿐, 개별 사건에 대한 최종 법률적·행정적 판단이나 행정기관의 결정을 대신하지 않습니다.
3. 회사는 비자 발급, 체류자격 승인, 취업 또는 입학 결과, 법인설립 등록, 세무 또는 노무상 결과 등 특정 결과를 보장하지 않습니다.
4. 이용자는 본인의 사실관계, 제출서류, 자격요건, 신청기한, 원본서류, 행정기관의 최신 기준을 최종적으로 직접 확인할 책임이 있습니다.
5. 제출지원, 신청지원 또는 대리 진행이 필요한 경우 이용자는 관계 법령상 필요한 동의, 위임, 원본 제출 또는 확인절차에 성실히 협조하여야 합니다.
6. 제공주체가 외부 전문가인 경우, 해당 전문가가 제공하는 상담 또는 자문의 실질적 내용과 범위에 대한 1차적 책임은 그 제공주체에게 있으며, 회사는 플랫폼 운영, 예약, 결제, 전달 및 기술지원 범위 내에서 책임을 부담합니다.
7. 회사가 제공하는 행정지원 솔루션 서비스와 전문가가 제공하는 서비스는 별개의 계약에 의한 것으로, 회사의 서비스 요금에는 전문가 보수가 포함되지 않습니다. 고객은 전문가와 직접 약정하고 전문가 보수를 전문가에게 직접 지급하여야 합니다.

제11조 (Vizabridge Corp 등 기업용 서비스에 관한 특칙)
1. 기업회원은 적법한 권한을 가진 대표자 또는 담당자를 통하여 기업용 서비스 이용계약을 체결하여야 합니다.
2. 기업회원 및 구성원은 직원, 채용후보자, 거래처 또는 기타 제3자의 개인정보, 문서 및 파일을 업로드·처리할 정당한 권한과 적법한 처리 근거를 확보하여야 합니다.
3. 기업회원의 관리자 계정은 회사가 제공하는 범위 내에서 구성원의 계정, 접근권한, 문서, 일정, 업무처리 현황, 상담 신청 내역 및 지원 요청 내역을 관리할 수 있습니다.
4. 구성원의 퇴사, 권한 종료, 조직 변경 또는 기업회원의 요청이 있는 경우 회사는 해당 구성원의 접근권한을 제한, 이전 또는 종료할 수 있습니다.
5. 기업용 서비스의 요금, 데이터 보관기간, 내보내기, 보안요건, 지원범위, SLA, 정산, 계약기간 등은 별도 계약 또는 서비스 안내에 따릅니다.
6. 기업회원과 구성원 사이의 내부 권한, 승인체계, 데이터 사용지시 또는 업무배분에 관한 분쟁은 당사자 간의 문제로 하며, 회사의 고의 또는 과실이 없는 한 회사는 이에 대하여 책임을 지지 않습니다.

제12조 (원격지원 및 자동화 기능)
1. 회사는 이용자의 명시적 요청 또는 동의가 있는 경우에 한하여 원격지원 서비스를 제공할 수 있습니다.
2. 원격지원이 개시되는 경우 이용자는 회사 또는 회사가 지정한 지원 인력이 합의된 범위 내에서 이용자의 기기, 계정 또는 서비스 화면에 접근하는 것에 동의한 것으로 봅니다.
3. 이용자는 원격지원 전 중요한 자료를 스스로 백업하고, 필요한 접근권한을 적법하게 확보하여야 하며, 원격지원 과정에서 안내되는 보안수칙을 준수하여야 합니다.
4. 회사는 원격지원의 품질관리, 보안, 분쟁대응 및 서비스 개선을 위하여 관련 접속기록 또는 처리기록을 남길 수 있으며, 세부 사항은 개인정보처리방침에 따릅니다.
5. 자동화 기능 또는 시스템이 생성한 결과물은 이용자가 최종 검토한 후 사용하여야 하며, 이를 검토하지 아니하여 발생한 불이익은 회사의 고의 또는 과실이 없는 한 회사가 책임지지 않습니다.

제13조 (이용자의 의무 및 금지행위)
1. 이용자는 서비스를 이용함에 있어 다음 각 호의 행위를 하여서는 안 됩니다.
1) 허위정보 등록, 타인 명의 사용 또는 계정 도용
2) 타인의 개인정보, 비밀정보, 문서 또는 파일을 적법한 권한 없이 수집, 업로드, 열람, 이용 또는 제공하는 행위
3) 회사, 전문가, 다른 이용자 또는 제3자의 저작권, 상표권, 초상권, 명예, 신용, 개인정보 기타 권리를 침해하는 행위
4) 법령에 위반되거나 허위, 과장, 비방, 음란, 차별, 혐오 또는 공서양속에 반하는 게시물을 게시하는 행위
5) 해킹, 비인가 접근, 비밀번호 탐색, 악성코드 유포, 크롤링, 스크래핑, 리버스엔지니어링, 보안장치 우회, 비정상적 트래픽 유발 등 서비스 운영을 방해하는 행위
6) 회사 또는 전문가를 사칭하거나 서비스 제공주체를 오인하게 하는 행위
7) 회사의 사전 서면 동의 없이 서비스를 상업적으로 재판매, 전대, 중개, 광고 또는 홍보에 이용하는 행위
8) 공개 게시판 또는 커뮤니티에 여권번호, 외국인등록정보, 소득정보, 건강정보 등 민감하거나 공개에 부적절한 정보를 게시하는 행위
9) 스팸, 불법 대행, 불법 알선, 불법 광고 등 관련 법령에 위반되는 방식으로 서비스를 이용하는 행위
10) 기타 법령, 이 약관 또는 회사의 운영정책에 위반되는 행위
2. 이용자는 관계 법령, 이 약관, 개별 약관·정책, 회사의 합리적인 안내사항을 준수하여야 하며, 위반으로 인하여 회사 또는 제3자에게 손해가 발생한 경우 그에 대한 책임을 부담할 수 있습니다.

제14조 (게시물, 리뷰 및 커뮤니티)
1. 이용자가 게시하거나 업로드한 게시물에 대한 권리와 책임은 원칙적으로 해당 이용자에게 있습니다.
2. 이용자는 회사에 대하여 게시물을 서비스 운영, 게시, 노출, 검색, 복제, 전송, 저장, 백업, 검수, 장애 대응 및 품질 개선을 위하여 필요한 범위 내에서 이용할 수 있는 비독점적·무상 사용권을 부여합니다. 다만, 이용자가 게시물을 삭제하거나 서비스 이용을 종료한 경우 해당 사용권은 종료되며, 백업본·분쟁처리·법령상 보관의무 범위는 예외로 합니다.
3. 회사는 게시물이 관련 법령, 이 약관, 운영정책에 위반되거나 타인의 권리를 침해한다고 판단되는 경우 사전통지 없이 노출제한, 삭제, 임시조치 또는 접근제한 등의 조치를 할 수 있습니다.
4. 공개 게시판, Q&A, 리뷰 및 커뮤니티에 게시된 게시물은 다른 이용자에게 공개될 수 있으므로, 이용자는 공개에 적합하지 않은 개인정보 또는 민감정보를 게시하여서는 안 됩니다.
5. 회원탈퇴 또는 계약 종료가 이루어지더라도 관련 법령, 분쟁처리, 게시판 운영상 필요한 범위에서 게시물이 즉시 삭제되지 않을 수 있습니다.
6. 리뷰는 실제 경험을 바탕으로 작성되어야 하며, 회사는 허위리뷰, 대가성 리뷰, 조작된 리뷰 또는 서비스 품질평가를 현저히 왜곡하는 리뷰를 삭제하거나 제한할 수 있습니다.

제15조 (지적재산권 및 제3자 라이선스)
1. 서비스 및 콘텐츠에 관한 저작권, 상표권, 데이터베이스권, 디자인권 기타 지적재산권은 회사 또는 정당한 권리자에게 귀속됩니다.
2. 이용자는 회사 또는 권리자의 사전 동의 없이 서비스 또는 콘텐츠를 복제, 배포, 수정, 전송, 전시, 출판, 2차적 저작물 작성 또는 상업적 이용을 할 수 없습니다.
3. 서비스에는 오픈소스 소프트웨어, 제3자 라이브러리, 아이콘 또는 Creative Commons 등 별도 라이선스가 적용되는 자산이 포함될 수 있으며, 이에 대한 상세 사항은 서비스 내 별도 고지 또는 해당 라이선스 조건에 따릅니다.
4. 이 약관은 회사의 상호, 로고, 상표, 서비스명 또는 제3자의 브랜드에 관한 어떠한 권리도 이용자에게 부여하지 않습니다.

제16조 (개인정보 보호)
1. 회사는 개인정보 보호법 등 관련 법령을 준수하며, 개인정보의 수집·이용·보관·파기 및 권리행사에 관한 사항은 별도의 개인정보처리방침에 따릅니다.
2. 서비스의 일부 기능은 카메라, 파일저장소, 알림, 일정 등 단말기 접근권한을 필요로 할 수 있으며, 회사는 관련 법령 및 운영체제 정책에 따라 필요한 범위에서 이용자의 동의를 받아 이를 사용합니다.
3. 이용자가 타인의 개인정보, 문서 또는 파일을 서비스에 제공하는 경우, 이용자는 이에 대한 적법한 처리 근거와 제공 권한을 보유하여야 합니다.
4. 쿠키, 접속기록, 기기정보 등 서비스 이용과정에서 수집되는 정보의 처리에 관한 자세한 내용은 개인정보처리방침에 따릅니다.

제17조 (이용제한, 회원탈퇴 및 계약해지)
1. 회원은 서비스 내 기능 또는 회사가 정한 절차에 따라 언제든지 회원탈퇴를 신청할 수 있습니다.
2. 회사는 이용자가 이 약관 또는 관련 법령을 위반하거나, 서비스의 안전한 운영을 현저히 해치는 경우, 사전통지 후 서비스 이용을 제한, 정지 또는 해지할 수 있습니다. 다만, 긴급한 보안사고, 법령 위반 우려, 권리침해 또는 서비스 보호를 위하여 즉시 조치가 필요한 경우에는 사전통지 없이 우선 조치 후 사후 통지할 수 있습니다.
3. 회사는 이용제한 또는 계약해지 시 그 사유와 기간을 이용자에게 통지하며, 이용자에게 소명 기회를 부여할 수 있습니다.
4. 회원탈퇴, 이용제한 또는 계약해지 시에도 관련 법령, 개인정보처리방침, 개별 상품 조건 또는 별도 계약에 따라 보관이 필요한 정보는 해당 기간 동안 보관될 수 있습니다.
5. 진행 중인 유료서비스의 정산, 환불, 자료 회수 및 후속 조치는 관련 법령, 이 약관, 개별 정책 및 별도 계약에 따릅니다.
6. 회사는 중대한 약관 위반 또는 반복 위반이 있는 이용자에 대하여 재가입을 제한할 수 있습니다.

제18조 (공지 및 통지)
1. 회사는 서비스 관련 공지사항을 웹사이트, 앱, 서비스 화면, 이메일, 문자메시지, 푸시 알림 또는 기타 전자적 방법으로 통지할 수 있습니다.
2. 불특정 다수의 이용자에게 공통으로 적용되는 사항에 대해서는 서비스 내 공지사항 게시로 개별 통지를 갈음할 수 있습니다. 다만, 이용자에게 중대한 영향을 미치는 사항은 가능한 범위에서 개별 통지를 병행합니다.
3. 회원은 회사에 제공한 이메일, 휴대전화번호 등 연락처가 항상 최신 상태로 유지되도록 하여야 하며, 이를 이행하지 아니하여 발생하는 불이익은 회원의 책임으로 합니다.

제19조 (회사의 책임 및 면책)
1. 회사는 관련 법령에 따라 서비스를 안정적으로 제공하기 위하여 합리적인 수준의 주의의무를 다합니다.
2. 회사는 천재지변, 전쟁, 테러, 정전, 통신망 장애, 앱스토어·결제대행사·클라우드 등 제3자 시스템의 장애, 이용자의 귀책사유 또는 회사의 합리적 통제 범위를 벗어난 사유로 인한 서비스 장애에 대하여 회사의 고의 또는 과실이 없는 한 책임을 지지 않습니다.
3. 회사는 이용자의 개별 사실관계, 제출서류의 정확성, 행정기관의 판단, 제도 변경, 심사기준 변경 또는 제3자의 의사결정에 따라 달라지는 결과에 대하여 보증하지 않습니다.
4. 회사는 외부 전문가, 제휴사, 링크된 외부 서비스 또는 다른 이용자와의 거래·상담·분쟁에 관하여 회사의 고의 또는 과실이 없는 한 책임을 지지 않습니다. 다만, 회사는 자신의 책임 범위 내에서 합리적인 지원을 제공할 수 있습니다.
5. 회사는 관련 법령에 따른 절차에 따라 게시물에 대한 삭제, 차단 또는 기타 필요한 조치를 취할 수 있으며, 이용자는 회사가 법령 준수 또는 권리보호를 위해 취한 정당한 조치에 대하여 이의를 제기할 수 있습니다.

제20조 (분쟁해결, 관할법원 및 준거법)
1. 회사는 이용자가 제기하는 정당한 의견이나 불만을 신속히 처리하기 위하여 노력합니다. 다만, 즉시 처리가 어려운 경우에는 그 사유와 처리일정을 안내합니다.
2. 회사와 이용자 간 분쟁은 상호 협의하여 해결함을 원칙으로 하며, 필요한 경우 관련 법령에 따른 분쟁조정절차를 이용할 수 있습니다.
3. 이 약관 및 서비스 이용과 관련한 분쟁에는 대한민국 법령을 적용합니다.
4. 전자상거래 또는 통신판매와 관련한 소비자와 회사 사이의 소송은 관련 법령에 따라 소비자의 주소 또는 거소를 관할하는 법원을 원칙으로 하며, 소비자의 주소 또는 거소가 분명하지 아니하거나 외국 거주자인 경우에는 민사소송법에 따릅니다.
5. 기업회원과 회사 사이에 별도의 서면 계약이 있는 경우, 그 계약에서 정한 분쟁해결 및 관할 조항이 관련 법령이 허용하는 범위에서 우선 적용될 수 있습니다.

부칙
제1조 (시행일)
이 약관은 2025년 01월 01일부터 시행합니다.
제2조 (종전 약관과의 관계)
이 약관 시행일 이전에 적용되던 서비스 이용약관은 본 약관으로 대체됩니다. 다만, 시행일 이전에 이미 체결된 개별 계약 또는 별도 약정에 관하여는 해당 계약 또는 약정에서 달리 정한 바가 있으면 그에 따릅니다.

Article 1 (Purpose)
These Terms of Use govern the rights, obligations, responsibilities, and other necessary matters between the Company and users in connection with the use of the website (https://hellofriend.co.kr), the mobile app "VizaBridge", the enterprise service "Vizabridge Corp", and all related services including webpages, customer support, remote assistance, consulting, and content (collectively referred to as the "Service"), operated by Hello Friends Co., Ltd. (hereinafter "Company").

Article 2 (Definitions)
1. "User" means any individual or legal entity who accesses or uses the Service.
2. "Member" means a person who has agreed to these Terms and completed the membership registration process prescribed by the Company.
3. "Corporate Member" means a corporation, organization, or business that has entered into a contract with the Company to use enterprise services such as Vizabridge Corp.
4. "Member Personnel" means employees, representatives, or persons accessing the Service under the authority of a Corporate Member.
5. "Paid Service" means consulting, expert matching, application support, enterprise features, or any other service provided by the Company for a fee.
6. "Expert" means a person who provides consultation or advisory services within the Service relating to immigration, visa, study abroad, employment, labor, tax, and incorporation matters, through the Company or a separate service provider.
7. "Post" means all information posted or uploaded to the Service by a user, including text, x-x-documents, photos, videos, files, reviews, comments, inquiries, and consultation materials.
8. "Content" means all text, designs, images, logos, x-x-documents, databases, software, UI/UX, features, and other information provided on the Service by the Company or rights holders.

Article 3 (Posting, Effect, and Amendment of Terms)
1. The Company posts these Terms on the initial or linked screen of the Service so that users can easily access them.
2. The Company may amend these Terms within the scope permitted by applicable law.
3. When amending these Terms, the Company will announce the effective date, reasons for amendment, and key changes at least 7 days before the effective date. For changes that are unfavorable to users or involve important matters, notice will be given at least 30 days in advance.
4. When announcing amended Terms, the Company may notify users that continued use of the Service without expressing explicit x-x-objection before the effective date will be deemed consent to the amended Terms. However, where explicit consent is legally required, it shall be obtained accordingly.
5. If a user does not agree to the amended Terms, the user may discontinue use of the Service and request membership withdrawal or contract termination.
6. If the Company provides these Terms in multiple languages, the Korean version shall take precedence unless otherwise specified.

Article 4 (Individual Terms and Policies)
1. Depending on the nature of the Service, the Company may establish a Privacy Policy, Refund Policy, Community Guidelines, Reservation Policy, corporate service agreements, quotes, proposals, or other individual terms and policies.
2. Individual terms and policies form part of these Terms to the extent they do not conflict with them.
3. Where these Terms conflict with individual terms, policies, or a separate agreement regarding a specific service, the individual terms, policies, or separate agreement shall take precedence for that service.
4. Matters not specified in these Terms or individual terms and policies shall be governed by applicable law and customary practice.

Article 5 (Member Registration and Account Management)
1. Users may apply for membership by entering the required information and agreeing to these Terms and related policies in accordance with the registration process prescribed by the Company.
2. The Company may decline a membership application or subsequently restrict or revoke membership in the following cases: (i) false information, use of another person's identity, errors, or omission of required information; (ii) misappropriation of another person's personal information or fraudulent registration; (iii) application for paid services by a minor without legal guardian consent; (iv) prior history of membership restriction or revocation due to Terms violations; (v) registration approval being significantly difficult due to technical or operational reasons.
3. Members are responsible for managing their account credentials and passwords and must not transfer, lend, pledge, or allow third parties to use them.
4. Members must promptly update any changes to their member information such as name, email, contact number, or affiliation; any disadvantage resulting from failure to update is the member's responsibility.
5. The Company may request users to submit additional x-x-documentation or undergo identity verification where necessary for identity confirmation or service security.
6. Non-member users may also access certain services, in which case the provisions of these Terms applicable by their nature shall apply mutatis mutandis.

Article 6 (Service Content)
1. The Company may provide the following services: (i) information provision and basic assessment related to immigration, visa, residence status, employment, study abroad, foreign investment, and incorporation; (ii) x-x-document guidance, preparation support, translation support, reference information on approval likelihood, residence/application schedule reminders, e-petition filing automation, and submission support; (iii) access to expert profiles, reservation, messaging, phone/video/in-person consultation, and follow-up support (note: selection and contracting of experts is done directly by the customer; the Company does not recommend or connect specific experts); (iv) news, notices, notifications, push messages, personalized information, and recommendation services; (v) user-participation services such as Q&A, reviews, and community forums; (vi) x-x-document management, file management, schedule management, consultation history management, collaboration features, remote support, and corporate task processing support via Vizabridge Corp; (vii) other supplementary services separately defined and provided by the Company.
2. The Company may provide all or part of the Service free of charge or for a fee; details of individual services are set out on service screens, guides, quotes, or separate agreements.
3. Some services may only be available on specific platforms (e.g., mobile app) or enterprise services.

Article 7 (Changes and Suspension of Service)
1. The Company may change all or part of the Service for operational, technical, or policy reasons.
2. In the event of significant changes to the Service, the Company will provide advance notice. However, in cases of urgent system failures, security issues, or unavoidable circumstances, notice may be given after the fact.
3. The Company may temporarily suspend the provision of the Service in the event of scheduled maintenance, server expansion, system replacement, communication failures, third-party service failures, force majeure, or equivalent circumstances.
4. If a Paid Service cannot be provided normally due to the Company's fault, the Company will provide a refund, substitute provision, or equivalent measure in accordance with applicable law and individual policies.
5. Experimental or supplementary features provided free of charge may be changed or discontinued without compensation in accordance with Company policy, unless caused by the Company's intentional act or negligence.

Article 8 (Use of Paid Services and Payment)
1. The Company provides information on Paid Service pricing, VAT inclusion, service provider, scope of provision, reservation or delivery schedule, period of use, and cancellation/refund conditions through the payment screen, reservation screen, product detail page, quote, or separate agreement.
2. Users may review, correct, or cancel the application details, amount, and conditions before payment or final submission.
3. A Paid Service contract is formed when the user applies in accordance with the Company's prescribed process and the Company accepts it, or when payment completion or reservation confirmation is notified.
4. In cases of pricing errors, significant errors in service information, payment errors, or confirmed fraudulent use, the Company may notify the user and cancel or correct the relevant application. If payment has already been received, refund procedures will be initiated without delay.
5. The Company may provide contract-related x-x-documents, receipts, guides, and notices in electronic form.
6. Tax invoice issuance, billing cycles, and billing methods for Corporate Members are governed by applicable law and separate agreements.
7. If the provider of a Paid Service is an external expert or affiliate, the Company will indicate this on the relevant screen or in the contract.
8. Where a minor enters into a Paid Service contract, legal guardian consent may be required; without consent, the minor or legal guardian may cancel the contract pursuant to applicable law.
9. The fees for Paid Services provided by the Company do not include remuneration or fees for professionals such as tax accountants, patent attorneys, or attorneys. Fees for expert services are handled directly between the customer and the expert, and the Company is not involved.

Article 9 (Withdrawal, Contract Cancellation, Schedule Changes, and Refunds)
1. Withdrawal of subx-x-scription, contract cancellation, and refunds for Paid Services are governed by applicable law, these Terms, individual product guides, reservation policies, quotes, or separate agreements.
2. In the following cases where services are performed immediately or partially commenced due to their nature, the Company may notify in advance of restrictions on cancellation or refunds, deductions, or pro-rata settlement standards to the extent permitted by law: (i) consultation or mentoring services with confirmed reservations; (ii) services where expert assignment has been completed; (iii) services where x-x-document review, translation, preparation support, application processing, submission support, or remote assistance has already commenced; (iv) digital outputs, custom deliverables, or individually ordered services; (v) services that have been partially used or consumed.
3. When a user validly exercises withdrawal or contract cancellation pursuant to law and these Terms, the Company will refund the payment within 3 business days from the date the refund obligation arises. However, the actual timing of the refund may vary depending on the processing schedule of the payment service provider or financial institution.
4. Refunds are in principle processed through the payment method used by the user; if refund via the same method is not possible, the Company may consult with the user to arrange a reasonable alternative.
5. If the Company becomes unable to provide a service due to its own fault, it will provide a full refund or equivalent measure pursuant to applicable law.
6. Standards for late arrival, absence, schedule changes, rebooking, and no-show handling for reservation-based services are governed by the reservation screen, guide, or individual policies.
7. The usage period and mid-term settlement standards for package services, passes, credits, corporate contracts, and long-term contracts are governed by individual product terms or separate agreements.

Article 10 (Special Provisions on Expert Consultation, Application Support, and Automated Recommendation Services)
1. Expert consultation or advisory services are used by customers directly reviewing expert profiles within the platform and independently selecting and contracting experts. The Company only provides platform operation, reservation, payment, and technical support, and does not recommend, assign, or connect specific experts. The parties to the expert service contract are the customer and the relevant expert; the Company is not a party to such contract.
2. Information, assessments, checklists, automated recommendations, reference information on approval likelihood, translation support, sample text, automatically generated outputs, and notification features provided by the Company are reference materials for general information provision and task support only, and do not substitute for a final legal or administrative judgment on an individual case or a decision by an administrative authority.
3. The Company does not guarantee specific outcomes such as visa issuance, residence status approval, employment or admission results, corporate registration, or tax or labor outcomes.
4. Users are ultimately responsible for verifying their own facts, submitted x-x-documents, eligibility requirements, application deadlines, original x-x-documents, and the latest standards of administrative authorities.
5. Where submission support, application support, or proxy processing is required, users must cooperate faithfully with any consent, delegation, original x-x-document submission, or verification procedures required by applicable law.
6. Where the service provider is an external expert, primary responsibility for the substance and scope of the consultation or advisory service rests with that provider; the Company's responsibility is limited to the scope of platform operation, reservation, payment, delivery, and technical support.
7. The administrative support solution services provided by the Company and the services provided by experts are governed by separate contracts; the Company's service fees do not include expert remuneration. Customers must contract directly with experts and pay expert remuneration directly to them.

Article 11 (Special Provisions on Enterprise Services Including Vizabridge Corp)
1. Corporate Members must enter into the enterprise service agreement through an authorized representative or designated contact person.
2. Corporate Members and Member Personnel must ensure they have lawful authority and a valid legal basis for uploading and processing personal information, x-x-documents, and files of employees, recruitment candidates, business partners, or other third parties.
3. Administrator accounts of Corporate Members may manage Member Personnel accounts, access rights, x-x-documents, schedules, task processing status, consultation request history, and support request history within the scope provided by the Company.
4. In the event of a Member Personnel's departure, expiration of authority, organizational change, or upon request by the Corporate Member, the Company may restrict, transfer, or terminate that personnel's access rights.
5. Pricing, data retention period, export, security requirements, support scope, SLA, billing, and contract period for enterprise services are governed by separate agreements or service guides.
6. Disputes between Corporate Members and Member Personnel regarding internal authority, approval systems, data use instructions, or work allocation are matters between those parties; the Company bears no responsibility for such disputes unless caused by its intentional act or negligence.

Article 12 (Remote Support and Automated Features)
1. The Company may provide remote support services only with the user's explicit request or consent.
2. When remote support commences, the user is deemed to have consented to the Company or its designated support personnel accessing the user's device, account, or service screen within the agreed scope.
3. Prior to remote support, users must back up important data on their own, lawfully secure the necessary access permissions, and comply with the security guidelines provided during the remote support session.
4. The Company may maintain access logs or processing records for quality control, security, dispute resolution, and service improvement of remote support; details are governed by the Privacy Policy.
5. Outputs generated by automated features or systems must be reviewed by the user before use; any disadvantage arising from failure to review is not the Company's responsibility unless caused by its intentional act or negligence.

Article 13 (User Obligations and Prohibited Acts)
1. Users must not engage in the following acts when using the Service: (i) registering false information, using another person's identity, or misappropriating an account; (ii) collecting, uploading, accessing, using, or providing another person's personal information, confidential information, x-x-documents, or files without lawful authority; (iii) infringing the copyrights, trademarks, portrait rights, reputation, creditworthiness, personal information, or other rights of the Company, experts, other users, or third parties; (iv) posting content that violates law or that is false, exaggerated, defamatory, obscene, discriminatory, hateful, or contrary to public order and morals; (v) engaging in acts that interfere with service operation, such as hacking, unauthorized access, password probing, distributing malware, crawling, scraping, reverse engineering, circumventing security measures, or generating abnormal traffic; (vi) impersonating the Company or an expert, or causing confusion about the identity of the service provider; (vii) commercially reselling, subletting, brokering, or using the Service for advertising or promotion without the Company's prior written consent; (viii) posting sensitive or publicly inappropriate information such as passport numbers, alien registration information, income information, or health information on public boards or communities; (ix) using the Service in a manner that violates applicable law, such as spam, illegal agency, illegal referral, or illegal advertising; (x) any other act that violates applicable law, these Terms, or the Company's operating policies.
2. Users must comply with applicable law, these Terms, individual terms and policies, and the Company's reasonable guidelines; users may be held liable for any damages caused to the Company or third parties as a result of violations.

Article 14 (Posts, Reviews, and Community)
1. Rights and responsibilities for posts uploaded or posted by users vest in principle with that user.
2. Users grant the Company a non-exclusive, royalty-free license to use their posts to the extent necessary for service operation, posting, exposure, search, reproduction, transmission, storage, backup, review, incident response, and quality improvement. However, this license terminates when the user deletes the post or terminates the service, with the exception of backups, dispute handling, and legally required retention.
3. The Company may restrict exposure, delete, take interim measures, or restrict access to posts without prior notice if it determines that the posts violate applicable law, these Terms, or operating policies, or infringe on the rights of others.
4. Posts on public boards, Q&A, reviews, and communities may be visible to other users; users must not post personal or sensitive information that is inappropriate for public disclosure.
5. Even after membership withdrawal or contract termination, posts may not be immediately deleted to the extent necessary under applicable law, for dispute handling, or for board operation.
6. Reviews must be based on actual experience; the Company may delete or restrict false reviews, reviews written for compensation, manipulated reviews, or reviews that significantly distort the evaluation of service quality.

Article 15 (Intellectual Property and Third-Party Licenses)
1. Copyrights, trademarks, database rights, design rights, and other intellectual property rights in the Service and Content vest with the Company or the rightful rights holders.
2. Users may not reproduce, distribute, modify, transmit, display, publish, create derivative works, or commercially exploit the Service or Content without the prior consent of the Company or the rights holder.
3. The Service may include assets subject to separate licenses such as open-source software, third-party libraries, icons, or Creative Commons; details are governed by separate notices within the Service or the applicable license terms.
4. These Terms do not grant users any rights in the Company's trade name, logo, trademarks, service names, or third-party brands.

Article 16 (Personal Information Protection)
1. The Company complies with the Personal Information Protection Act and applicable law; matters concerning the collection, use, retention, destruction, and exercise of rights regarding personal information are governed by the separate Privacy Policy.
2. Some features of the Service may require device access permissions such as camera, file storage, notifications, and calendar; the Company will obtain user consent within the necessary scope in accordance with applicable law and operating system policies.
3. When a user provides another person's personal information, x-x-documents, or files through the Service, the user must hold a valid legal basis and authority for such provision.
4. Detailed information on the processing of information collected during service use, such as cookies, access logs, and device information, is governed by the Privacy Policy.

Article 17 (Service Restriction, Membership Withdrawal, and Contract Termination)
1. Members may request membership withdrawal at any time through the Service's features or the procedures prescribed by the Company.
2. If a user violates these Terms or applicable law, or significantly disrupts the safe operation of the Service, the Company may restrict, suspend, or terminate service use after prior notice. However, where immediate action is required due to an urgent security incident, risk of legal violation, rights infringement, or service protection, the Company may take action first and provide notice afterward.
3. Upon service restriction or contract termination, the Company will notify the user of the reason and period, and may provide the user with an opportunity to respond.
4. Even after membership withdrawal, service restriction, or contract termination, information required to be retained under applicable law, the Privacy Policy, individual product terms, or separate agreements may be retained for the applicable period.
5. Settlement, refunds, data retrieval, and follow-up measures for ongoing Paid Services are governed by applicable law, these Terms, individual policies, and separate agreements.
6. The Company may restrict re-registration for users who commit serious or repeated violations of these Terms.

Article 18 (Notices and Notifications)
1. The Company may notify users of service-related announcements via the website, app, service screen, email, text message, push notification, or other electronic means.
2. For matters that apply commonly to an unspecified number of users, posting a notice within the Service may substitute for individual notification. However, for matters that materially affect users, individual notification will be provided in parallel where possible.
3. Members must keep contact information such as email addresses and mobile phone numbers provided to the Company up to date; any disadvantage resulting from failure to do so is the member's responsibility.

Article 19 (Company's Liability and Disclaimer)
1. The Company exercises a reasonable standard of care to provide the Service stably in accordance with applicable law.
2. The Company is not liable, unless caused by its intentional act or negligence, for service failures arising from force majeure, war, terrorism, power outages, network failures, failures of third-party systems such as app stores, payment processors, or cloud services, causes attributable to users, or causes beyond the Company's reasonable control.
3. The Company does not warrant outcomes that vary depending on individual facts, accuracy of submitted x-x-documents, decisions by administrative authorities, regulatory changes, changes in review standards, or decisions by third parties.
4. The Company is not liable, unless caused by its intentional act or negligence, for transactions, consultations, or disputes with external experts, affiliates, linked external services, or other users. However, the Company may provide reasonable assistance within the scope of its own responsibilities.
5. The Company may take measures such as deletion, blocking, or other necessary actions regarding posts in accordance with applicable law procedures; users may raise x-x-objections to lawful measures taken by the Company for legal compliance or rights protection.

Article 20 (Dispute Resolution, Jurisdiction, and Governing Law)
1. The Company makes efforts to promptly address legitimate complaints or opinions raised by users; where immediate resolution is not possible, it will communicate the reason and processing schedule.
2. Disputes between the Company and users shall in principle be resolved through mutual consultation; dispute resolution procedures under applicable law may be used if necessary.
3. The laws of the Republic of Korea apply to disputes arising in connection with these Terms and the use of the Service.
4. Litigation between consumers and the Company relating to e-commerce or mail-order sales shall in principle be subject to the jurisdiction of the court having jurisdiction over the consumer's address or residence pursuant to applicable law; where the consumer's address or residence is unknown or the consumer resides abroad, the Civil Procedure Act shall apply.
5. Where a separate written agreement exists between a Corporate Member and the Company, the dispute resolution and jurisdiction provisions of that agreement may take precedence to the extent permitted by applicable law.

Addendum
Article 1 (Effective Date)
These Terms shall take effect from January 1, 2025.

Article 2 (Relationship with Prior Terms)
The Terms of Use that applied prior to the effective date of these Terms are replaced by these Terms. However, with respect to individual contracts or separate agreements already concluded before the effective date, any provisions stipulated differently therein shall govern.
